General terms and conditions of GREIFF Mode GmbH & Co. KG - Onlinestore

§ 1 Scope and Application

  1. The business relationship between GREIFF Mode GmbH & Co. KG (hereinafter referred to as GREIFF) and the customer shall be governed exclusively by the following General Terms and Conditions in the version valid at the time of the order. They shall only relate to purchase orders submitted by consumers in the sense of § 13 of the German Civil Code.
  2. Any terms of the customer which deviate from these terms are non-binding for us, even if GREIFF does not object to these terms.

 

§ 2 Conclusion of contract

  1. The presentation and promotion of items in our dealer online shop, in our catalogues or on our website shall not constitute a binding offer for the conclusion of a purchase agreement. By displaying products in catalogues and on the web pages, GREIFF merely invites the customer to place offers (orders). 
  2. For orders in our online shop, the order process comprises on 4 steps. In the first step, the customer selects the desired products. In the second step, the customer enters the customer information, including invoice address and, if applicable, a different delivery address. In the third step, the customer chooses the payment option and enters his payment data. In the last step, the customer has the chance to check and correct the order data (e.g., name, address, payment option, ordered items) before the order is submitted to GREIFF by clicking “Commit to buy”. By submitting the order, the customer places a legal binding order.
  3. GREIFF will confirm the receipt of an order per e-mail. This confirmation of receipt shall not constitute the binding acknowledgement of the order, unless it also declares acceptance in addition to confirmation of receipt.
  4. A contract is only concluded when GREIFF accepts your order by a declaration of acceptance, an order confirmation or by the delivery of the ordered items.
  5. Should the delivery of the goods ordered by you not be possible, for example because the corresponding goods are not in stock, we refrain from a declaration of acceptance. In this case, a contract does not come off. GREIFF will inform you about it immediately and refund already received consideration immediately.
  6. The goods shall be sold merely in customary household quantities. GREIFF does not accept orders placed by customers under the age of 18.

 

§ 3 Right of revocation

  1. If you as a consumer make use of your right of revocation, you must bear the regular costs of the return.
  2. For the rest, the provisions set out in detail in the following shall apply to the right of revocation.

Right of withdrawal

 

Right of withdrawal:

You have the right to cancel this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day on which you or a third party named by you, who is not the carrier, has taken possession of the goods.

by means of a clear declaration (e.g., a letter sent by post, fax or e-mail) of your decision to withdraw from this contract. You can use the attached model withdrawal form for this purpose, which is, however, not mandatory. In order to comply with the withdrawal period, it is sufficient that you send the notification of the exercise of the right of withdrawal before the expiry of the withdrawal period.

Consequences of the revocation:

If you revoke this contract, we shall reimburse you all payments we have received from you, including delivery costs (except for additional costs resulting from the fact that you have chosen a type of delivery other than the most favorable standard delivery offered by us), without undue delay and no later than within fourteen days from the day on which we received the notification of your revocation of this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees because of this repayment. We may refuse repayment until we have received the goods back or until you have provided proof that you have returned the goods, whichever is the earlier. You must return or hand over the goods to us without undue delay and in any case no later than within fourteen days from the day on which you notify us of the revocation of this contract. The deadline is met if you send the goods before the expiry of the period of fourteen days. You shall bear the direct costs of returning the goods. You will only have to pay for any loss in value of the goods if this loss in value is due to handling of the goods that is not necessary for testing the condition, properties and functioning of the goods.

3. The right of revocation does not apply to 

a) contracts for the delivery of goods which are not prefabricated, and which are produced based on the consumer’s individual selection or determination, or which are clearly tailored to the needs of the consumer,

b) contract for the delivery of sealed goods that cannot be returned due to reasons of health or hygienics if the seal was removed after delivery.

§ 4 Delivery

  1. Unless otherwise agreed, deliveries are made by GREIFF to the address stated by the customer at the expense of the customer. Deliveries are only made within the Federal Republic of Germany and by a transport company determined by GREIFF.
  2. Unless otherwise agreed, the lead time is approximately 2-5 business days and commences on the date the contract is concluded – subject to sub-paragraph 3.
  3. GREIFF reserves the right to make delivery conditional upon receipt of the purchase price and delivery charge (reservation of advance payment) for orders placed by customers whose place of residence or business is abroad or where there are reasonable grounds to suspect a credit risk. Where delivery is subject to advance payment, GREIFF will promptly notify the customer. In such circumstances the term of delivery commences upon payment of the price and delivery cost.
  4. GREIFF is entitled to deliver by instalment where reasonable.

 

§ 5 Price and delivery cost

  1. All prices stated on websites by GREIFF are to be understood as including the VAT that is legally applicable at the time.
  2. GREIFF informs the client of the respective delivery costs on the Internet site. The buyer must pay these costs in addition to the respective order amount. As stated in § 3 in the cancellation policy, the customer must pay the freight costs for returning the goods in case of revocation.

 

§ 6 Warranty

  1. The customer has a warranty claim for defects of quality in accordance with the applicable statutory regulations, §§ 434 ff. BGB. This means that, in the first instance, the customer can request supplementary performance (replacement or remedy of faults). GREIFF is entitled to refer the customer to a new delivery, if the correction of the defect involves disproportionate expenditure.
  2. Guarantee claims are statute-barred after 2 years after delivery of the goods. When making his/her warranty claim, the buyer must provide the order number, his/her name and address as well as brief information explaining the reasons for the claim. At GREIFF’s request, the client will send the defective goods for examination at GREIFF’s costs and risk to the following address:

§ 7 Payment Methods

  1. In the scope of the order procedure, GREIFF only accepts payment per PayPal or the payment provider Klarna.
  2. The payment of the purchase price is due immediately with conclusion of the contract, unless the type of payment requires otherwise, for example in case of payment on account after checking the credit rating of the customer. In case of a calendar-based payment period, the customer is already in default by exceeding the date. In case of default, the customer must pay default interest at the statutory rate. The customer´s obligation to pay interest does not exclude GREIFF from claiming for any further loss caused by the delay.

 

 § 8 Retention of title

GREIFF Mode GmbH & Co. KG retains title of ownership to the delivered merchandise until the purchase price has been paid in full.

§ 9 Offset, Retention

The customer shall be entitled to offset only insofar as the purchaser’s counterclaim is acknowledged, undisputed or assessed in a legally binding judgement. The customer is entitled to claim rights of retention only to the extent such rights are based on the same purchase contract.

§ 10 Liability

  1. GREIFF is liable in all cases of contractual and non-contractual liability in the event of intent and gross negligence in accordance with the statutory provisions for compensation of damage or reimbursement of futile expenditure.
  2. In other cases, GREIFF accepts liability – unless otherwise stipulated in paragraph 3 – only in the event of the breach of a contractual obligation which must be fulfilled to enable proper performance of the contract and you as the customer can normally rely on to be met (so-called cardinal obligations). This liability is limited to compensation for foreseeable and typical damage. In all other cases GREIFF´s liability is excluded, except for the provision of paragraph 3. 
  3. Our liability for damages resulting from loss of life, physical injury or damage to health and under the German Product Liability Act remains unaffected by the preceding limitations of liability and exclusions.

§ 11 Data protection

Personal-related data which become known to GREIFF in the course of a business relationship are collected, processed and used and, if necessary, passed on to affiliated companies for the purpose of order processing. All data are treated confidentially. All data is collected, stored and used by GREIFF in accordance with provisions of applicable data protection laws.

§ 12 Storage of purchase order text

The contractual text is saved within our internal system. The order details and the General Terms of Business will be emailed to the customer. The applicable General Terms and Conditions are available for the customer under www.greiff.de/agb. After completion of the order, the details of your order are no longer accessible over the Internet for security reasons.

 § 13 Copyrights

GREIFF owns the copyright to all pictures, films and texts which are published in the GREIFF catalogue, websites or the online store. The use of these pictures, films and texts is not allowed without the consent of GREIFF.

§ 14 Online Dispute Resolution Platform

The EU Commission has created an Internet platform for the online settlement of disputes. The platform serves as a contact point for out-of-court settlement of disputes concerning contractual obligations arising from online sales contracts. The customer can reach the platform under the following link: http://ec.europa.eu/consumers/odr. GREIFF is neither willing nor obliged to participate in dispute resolution procedures before consumer arbitration bodies.

§ 15 Final provisions

  1. The laws of the Federal Republic of Germany shall apply to all contracts between GREIFF Mode GmbH & Co. KG and the customer, excluding the UN-Convention on Contract for the International Sale of Goods. This choice of law system shall only apply if it does not withdraw binding applicable consumer protection regulations issued by the country in which the consumer has his/her normal place of residence at the time of placing the order.
  2. Should one or several conditions of these general terms and conditions or a contract become null and void or impracticable, this will not affect the validity of the remaining conditions. An invalid or impracticable condition shall be replaced by one that is valid and practicable and fulfils the economically intended purpose of the invalid condition as closely as possible.
